Terms and Conditions

1. Introduction

These Terms and Conditions govern your access to and use of Tiidon Market, including all associated pages, features, seller tools, promotions, content, communication tools, support services, and any future features introduced by Tiidon Innovations Limited.

By using the platform, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you do not agree with any part of these terms, you must immediately stop using Tiidon.

To use Tiidon, you must be at least 18 years of age and legally capable of entering into binding agreements under applicable law.

By using Tiidon, you represent and warrant that:

• You are at least 18 years old.
• You have the legal authority to accept these Terms and Conditions.
• The information you provide to Tiidon is accurate and not misleading.
• Your use of the platform does not violate any applicable law, regulation, or third-party right.

4. User Accounts

Certain features of Tiidon may require an account, including posting listings, managing advertisements, purchasing seller tools, communicating through platform features, or accessing ecommerce capabilities.

You are solely responsible for your account and for all activities carried out through it.

• You must provide truthful, current, and complete registration information.
• You must keep your username, password, and login credentials secure.
• You must not share your account in a misleading or fraudulent manner.
• You must promptly notify Tiidon if you suspect unauthorized access or misuse of your account.
• You remain responsible for activities occurring under your account unless required otherwise by law.

5. Seller Types and Verification

Tiidon may support different seller categories including individual sellers, business sellers, and verified sellers.

Verification status may include:

• ID Verified Sellers
• Business Verified Sellers

Tiidon may, at its discretion, review and approve seller verification based on submitted documents, identity details, business information, and internal review requirements.

Verification on the platform does not constitute a guarantee of performance, honesty, product quality, or future behavior by the seller. It only reflects that specified information or documents were reviewed by Tiidon at a particular point in time.

6. Listings and Advertisements

Tiidon allows users to publish listings, advertisements, business offers, service offers, and related marketplace content. Sellers are solely responsible for the legality, truthfulness, completeness, relevance, safety, and accuracy of the listings they post.

Seller responsibilities

• All listing information must be truthful and not deceptive.
• Prices, descriptions, condition status, and images must accurately reflect the item or service being offered.
• Listings must not misrepresent ownership, authenticity, availability, quality, or delivery terms.
• Sellers may only advertise goods or services they are legally permitted to sell or promote.
• Duplicate, misleading, spam-like, abusive, or manipulated ads may be removed at any time.

Right to review and remove content

Tiidon reserves the right, but is not obligated, to review, reject, disable, edit, unpublish, or remove listings that violate these Terms and Conditions, applicable law, safety standards, internal policies, technical requirements, or platform quality rules.

7. Prohibited Items and Restricted Content

Users may not list, advertise, sell, request, promote, or facilitate the sale of illegal, fraudulent, restricted, unsafe, or prohibited products or services on Tiidon.

Prohibited or restricted content includes, without limitation:

• Illegal drugs or unlawful controlled substances
• Stolen goods or property without lawful ownership
• Counterfeit, fake, or infringing goods
• Fraudulent schemes or scam-related offers
• Illegal services or unlawful activities
• Any content prohibited by applicable law or Tiidon platform policy

Tiidon may remove such content immediately, report suspicious activity where legally appropriate, and suspend or terminate related user accounts.

8. Ecommerce Features for Verified Sellers

Tiidon may provide ecommerce functionality to selected verified sellers whose identity and/or business documentation has been approved. These features may include direct purchase options such as add-to-cart, buy-now functionality, stock controls, seller-set fulfilment options, and related commerce tools.

Access to ecommerce features is granted at Tiidon’s discretion and may be limited, suspended, or removed at any time.

• Only approved verified sellers may access these tools.
• Sellers remain responsible for the goods they offer, stock accuracy, and fulfilment commitments.
• Ecommerce access does not convert Tiidon into the seller of the listed product.

9. Role of Tiidon in Transactions

Tiidon operates as a technology platform connecting buyers and sellers. Unless Tiidon expressly states otherwise in writing, Tiidon is not the actual seller of user-listed goods or services.

In most cases, contracts for sale, payment, delivery, refunds, and product condition are matters between the buyer and the seller.

• Tiidon does not take ownership of seller inventory in ordinary marketplace transactions.
• Tiidon does not ordinarily warehouse listed products.
• Tiidon does not guarantee successful completion of user-to-user transactions.
• Tiidon is not a party to every agreement formed between buyers and sellers on the platform.

10. Payments

Tiidon supports a marketplace structure where payment may be made directly from the buyer to the seller. Supported seller-side payment methods may include mobile money, card payments, bank transfers, and cash on delivery.

Tiidon does not hold customer funds in ordinary marketplace transactions and does not operate as a wallet or fund-holding intermediary for such transactions.

• Buyers are responsible for confirming seller details before making payment.
• Sellers are responsible for correctly communicating their accepted payment methods.
• Tiidon is not responsible for payment losses caused by fraud, mistaken transfers, or off-platform arrangements between users.

11. Delivery, Pickup and Fulfilment

Delivery and fulfilment options may be configured by the seller. These may include meet-up arrangements, store pickup, rider delivery, courier delivery, or other seller-defined fulfilment options.

Buyers are responsible for choosing from the options made available by the seller and confirming the arrangement before completing the transaction.

• Sellers are responsible for clearly stating their fulfilment options.
• Buyers are responsible for reviewing the available delivery method before paying.
• Tiidon is not responsible for delivery delays, failed meet-ups, transport loss, or seller-side fulfilment issues.

12. Refunds, Returns and Disputes

Refunds and returns are primarily the responsibility of the seller, unless Tiidon expressly states otherwise for a specific service or feature.

Tiidon may, at its discretion, help investigate disputes, review evidence, and attempt informal mediation between users. However, Tiidon is not required to guarantee a refund outcome or resolve every transaction dispute.

• Buyers should first attempt to resolve issues directly with the seller.
• Tiidon may review reports, complaints, messages, and submitted evidence where available.
• Disputes may be handled directly between the buyer and seller, with Tiidon mediation where appropriate, or through legal courts in Zambia.

13. Points, Promotional Tools and Platform Fees

Basic use of Tiidon may include limited free listing access. Additional promotional or advertising functionality may require users to purchase or use Points.

Points may be used for features such as boosting ads, promoting listings, increasing visibility, or accessing additional listing capacity beyond free usage limits.

• Tiidon does not charge commission on sales made by sellers through the marketplace.
• Tiidon may charge fees for promotional tools, boosts, featured placements, or related visibility services.
• Purchased Points are non-refundable.
• Points are not cash, cannot be withdrawn, and cannot be redeemed for money.
• Points may expire after 90 days if unused, subject to the platform rules in force at the time.

14. User Conduct

You agree not to misuse Tiidon or engage in conduct that is unlawful, deceptive, abusive, harmful, technically disruptive, or unfair to other users or to the platform.

• Posting false, misleading, or fraudulent listings
• Using the platform for scams, impersonation, or deceptive practices
• Harassing, threatening, or abusing other users
• Uploading harmful code, scripts, or malicious tools
• Attempting to gain unauthorized access to accounts, systems, or administrative features
• Using bots, scraping tools, or automated systems in a way that harms or exploits the platform

15. User Content and Marketing Rights

By uploading or posting content on Tiidon, including listing text, images, business information, descriptions, logos, and related material, you confirm that you have the right to use that content.

You grant Tiidon a non-exclusive, royalty-free, worldwide license to host, display, reproduce, adapt, format, distribute, promote, and use such content for the purpose of operating, improving, advertising, and marketing the platform.

This includes the right to use listing images, titles, and related content in platform promotions, banners, social media marketing, advertisements, or internal merchandising displays related to Tiidon.

16. Intellectual Property

The Tiidon platform, including its software, design, branding, logos, graphics, structure, layout, systems, and related intellectual property, is owned by or licensed to Tiidon Innovations Limited.

Except as expressly allowed by law or by written permission from Tiidon, you may not copy, reproduce, modify, distribute, republish, commercially exploit, reverse engineer, or create derivative works from platform materials.

17. Suspension and Termination

Tiidon may suspend, restrict, limit, or permanently terminate user accounts, listings, seller privileges, verification status, or ecommerce access at any time where Tiidon reasonably believes that a user has violated these Terms and Conditions, abused the platform, or created legal, reputational, or operational risk.

• Accounts may be terminated for fraud, misconduct, abuse, illegal listings, or policy violations.
• Listings may be removed without prior written notice.
• Verified or ecommerce privileges may be withdrawn at Tiidon’s discretion.

18. Disclaimer

Tiidon is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Tiidon makes no warranties or representations, express or implied, regarding the platform’s availability, accuracy, security, reliability, merchantability, fitness for a particular purpose, or non-infringement.

Tiidon does not guarantee:

• That the platform will always be uninterrupted or error-free
• That listings are always accurate, lawful, or up to date
• That buyers and sellers will successfully complete transactions
• That goods or services offered by users will meet any particular standard

19. Limitation of Liability

To the fullest extent permitted by law, Tiidon Innovations Limited, its officers, employees, affiliates, contractors, and partners shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of the platform.

This includes, without limitation, losses arising from:

• User-to-user transactions
• Fraudulent sellers or buyers
• Payment errors or transfer mistakes
• Delivery failures or damaged goods
• Inaccurate listings or user-generated content
• Business interruption, data loss, lost profits, or reputational harm

Users engage with platform listings and third-party sellers at their own risk.

20. Indemnity

You agree to indemnify, defend, and hold harmless Tiidon Innovations Limited and its related persons from and against claims, liabilities, losses, damages, judgments, penalties, costs, and expenses arising from or related to:

• Your use of the platform
• Your breach of these Terms and Conditions
• Your listings, content, or conduct
• Your violation of law or third-party rights
• Any dispute between you and another user

21. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Zambia.

Where disputes arise, users are encouraged to first seek an amicable resolution directly with the other party. Tiidon may, where appropriate and at its discretion, assist through informal mediation or internal review.

Where a dispute cannot be resolved amicably, it may be referred to the appropriate courts or legal authorities in Zambia.

22. Changes to Terms

Tiidon may revise these Terms and Conditions from time to time to reflect operational updates, legal changes, product changes, safety improvements, or business requirements.

Updated terms become effective once posted on this page unless a different date is expressly stated. You are responsible for reviewing this page periodically.
