TiiDON Marketplace — Terms of Use

Welcome to TiiDON Marketplace, owned and operated by TiiDON Innovations Limited (“TiiDON”, “we”, “our”, “us”).
These Terms of Use (“Terms”) constitute a legally binding agreement between you and TiiDON regarding your access to and use of our websites, mobile applications, dashboards, APIs, services, tools, and any other digital environments we operate (collectively, the “Platform”).

By accessing, browsing, creating an account, uploading products, making purchases, or using any part of the Platform—whether as a guest, Buyer, Author/Seller, or Affiliate—you agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and any additional guidelines published on the Platform.

If you do not agree with all of these Terms, you must immediately stop using the Platform.
Continued use of the Platform constitutes acceptance of the Terms.

These Terms apply to all Users worldwide, regardless of country of residence or location of access.

1. Definitions

For clarity and consistency throughout these Terms, the following words and expressions shall have the meanings stated below:

1.1 “Platform”

Refers to all digital and online environments owned or controlled by TiiDON, including but not limited to:

  • The TiiDON Marketplace website
  • Author and buyer dashboards
  • Admin dashboards
  • Mobile applications
  • APIs and integrations
  • Documentation portals
  • Subdomains and service portals
  • Any future digital services developed under the TiiDON brand

The Platform includes all functionalities such as product uploads, digital delivery, review systems, payments, support tools, affiliate tracking, analytics, and all interactions conducted within the TiiDON ecosystem.

1.2 “User”

Any individual or legal entity accessing, browsing, or using the Platform, with or without an account.
Users include Buyers, Authors/Sellers, Affiliates, guests, reviewers, and administrators.

1.3 “Buyer”

A User who purchases, licenses, downloads, accesses, or interacts with any digital Product available through the Platform.
Buyers must comply with license terms attached to each Product and may not redistribute or misuse purchased items.

1.4 “Author” or “Seller”

A User who submits, uploads, lists, or sells Products on the Platform.
Authors are independent content creators, not employees of TiiDON, and are fully responsible for:

  • The originality and legality of their Products
  • Product updates and support (if offered)
  • Product descriptions, demos, and documentation

Complying with TiiDON’s upload rules and quality standards

1.5 “Product”

Any digital item or downloadable asset offered on the Platform, including but not limited to:

  • PHP scripts and web applications
  • WordPress themes and plugins
  • SaaS templates and Laravel applications
  • Mobile applications (Android/iOS)
  • AI tools and automation scripts
  • Forex Expert Advisors (EAs), cBots, and trading robots
  • Graphics, illustrations, UI kits, logos, templates
  • Audio files, sound effects, music, and voice packs
  • Video assets, guides, and tutorials
  • Any other form of digital content supported by TiiDON

Products may be provided under Regular, Extended, or Custom licenses.

1.6 “Affiliate”

A User who participates in TiiDON’s affiliate program by referring new Buyers or Authors to the Platform and earning commissions for qualifying sales. Affiliates must comply with TiiDON’s marketing and anti-fraud rules.

1.7 “Account”

A unique User profile created on the Platform, containing personal details, settings, transaction history, uploaded Products, purchases, earnings, and other account-related information.
Users are responsible for maintaining the confidentiality of their account credentials.

1.8 “Commission Structure”

The standard earnings distribution applied to each sale, unless otherwise stated:

  • 70% — Author/Seller
  • 20% — TiiDON (Platform Fee)
  • 10% — Affiliate (only if a referral was involved)

If no affiliate is involved, the distribution becomes 70% Author / 30% TiiDON.
TiiDON may adjust commissions for promotional events or marketplace programs.

1.9 “Payout Methods”

The available ways Authors and Affiliates may withdraw their earnings, which may include:

Mobile Money (MTN, Airtel, Zamtel, etc.)

  • Local or international bank transfer
  • Bitcoin or other cryptocurrencies
  • Virtual payment platforms
  • Additional payout channels added over time

Each method may have country-specific fees, limits, or verification requirements.

 

2. Eligibility

To access or use the TiiDON Platform in any capacity—including browsing, purchasing, selling, or participating in the affiliate program—you must meet the following eligibility requirements. By using the Platform, you represent and warrant that all of the statements below are true:

2.1. Age Requirement

You must be:

At least 18 years old, or

The legal age of majority in your country of residence,
whichever is higher.

Users under the age of 18 may not use the Platform under any circumstances, even with parental consent, due to legal, financial, and contractual obligations involved in digital purchases and sales.

2.2. Legal Capacity

You must have the full legal capacity to:

  • Enter into binding contracts,
  • Provide legally valid consent, and
  • Assume responsibility for your actions on the Platform.

If you are accessing the Platform on behalf of a business or organization, you confirm that you have the authority to bind that entity to these Terms.

2.3. Accuracy of Information

You agree to:

  • Use only accurate, truthful, and up-to-date personal and account information.
  • Ensure that your contact details, payment information, payout information, and identification documents (if required) are valid.
  • Not use false identities, impersonate others, or misrepresent your affiliations.

Providing misleading or fraudulent information may result in account suspension, withholding of earnings, or permanent ban.

2.4. Compliance With Laws

You may only use the Platform if:

  • You are not prohibited from using online marketplaces under the laws of your country.
  • You are not listed on any government sanctions list (UN, OFAC, EU, UK, Zambian sanctions, etc.).
  • You are not operating in jurisdictions blacklisted for fraud, money laundering, or digital crimes.

Users found to be operating in violation of applicable laws will have their accounts terminated immediately.

2.5. Ban or Restriction Status

You must not:

  • Have been previously banned from TiiDON
  • Have had an account suspended for fraud, piracy, abusive behavior, or policy violations
  • Use VPNs, proxies, or hidden addresses to bypass regional or platform-level restrictions

If your account was previously closed by TiiDON for violations, you may not create a new account without written approval.

2.6. Business or Organizational Use

If you are using the Platform on behalf of a:

  • Company
  • Agency
  • Government department
  • Startup
  • NGO
  • School or institution
  • You confirm that:
  • The entity is legally registered,
  • You are authorized to act on its behalf,

Your use of the Platform complies with all relevant industry and regional regulations.

2.7. Responsibility for Third Parties

If others (employees, contractors, partners) access the Platform using your account:

  • You are fully responsible for all actions performed under your credentials.
  • You must ensure they follow these Terms, regardless of internal relationships or agreements.

2.8. Geographic Restrictions

TiiDON reserves the right to:

  • Deny access to specific countries or regions,
  • Restrict services due to regulatory limitations,
  • Block accounts originating from high-risk jurisdictions.

These restrictions may be updated in compliance with global marketplace standards and digital commerce laws.

 

3. Account Registration

To access core features of the TiiDON Marketplace—including purchasing Products, uploading items for sale, managing earnings, or participating in the affiliate program—you must first create a valid user account (“Account”). By registering, you agree to comply with all requirements outlined below.

3.1. Creating an Account

To register on TiiDON, you must:

  • Provide a valid email address and create a secure password
  • Supply accurate identity information
  • Agree to these Terms of Use and all related policies
  • Verify your email address (if required)
  • Complete any KYC (Know Your Customer) verification if prompted

Failure to provide accurate information may result in the suspension or termination of your Account.

3.2. Accuracy and Completeness of Information

You agree that all information provided—during registration or thereafter—will be:

  • True
  • Accurate
  • Current
  • Complete

This includes details used for:

  • Login
  • Profile information
  • Payout methods
  • Billing information
  • Identity verification (KYC)
  • Tax information

You are responsible for updating your Account information promptly whenever it changes.

3.3. Account Security and Credentials

You agree to maintain the security of your Account credentials by:

  • Keeping your password confidential
  • Using strong, unique passwords
  • Avoiding shared or public devices to access your Account
  • Not disclosing your login details to any third party
  • Immediately notifying TiiDON of unauthorized access or suspected security breaches

TiiDON is not liable for losses resulting from compromised accounts due to negligence.

3.4. Prohibited Account Activities

You may not:

  • Create an Account using false information
  • Create multiple accounts to manipulate sales, reviews, or referrals
  • Sell, rent, or transfer your Account to others
  • Use someone else’s identity or impersonate another person
  • Use disposable, temporary, or fraudulent email addresses
  • Circumvent bans, suspensions, or regional restrictions
  • Register accounts for the purpose of abuse or fraud

Any such attempts may result in immediate termination.

3.5. Business or Organizational Accounts

If registering an Account on behalf of a company, agency, or organization:

  • You represent that the entity is legally registered
  • You confirm that you have authorization to bind the organization
  • You agree that all actions performed through the Account apply to the organization

TiiDON may require additional documentation for organizational accounts.

3.6. Responsibility for Account Activity

You are solely responsible for:

  • All actions taken through your Account
  • The behavior of individuals who access the Platform using your credentials
  • Content uploaded through your Account
  • Purchases made using your Account
  • Compliance with TiiDON’s policies

If your Account is compromised, you must notify TiiDON Support immediately.

3.7. Account Verification & KYC

TiiDON may, at its discretion, require Users to undergo verification processes including:

  • Email verification
  • Phone verification
  • National ID or passport submission
  • Proof of address
  • Business registration documents
  • Video verification (in cases of fraud risk)
  • Failure to complete required verification may lead to:
  • Withdrawal restrictions
  • Product submission limits
  • Account suspension
  • Termination

3.8. Account Suspension or Termination

TiiDON reserves the right to suspend or permanently terminate Accounts that:

  • Provide false or misleading information
  • Engage in fraud, piracy, or abusive behavior
  • Violate any section of these Terms
  • Attempt to bypass rules or manipulate the Platform
  • Pose security risks
  • Violate intellectual property laws
  • Engage in suspicious financial activity

Suspension or termination may occur without prior notice in serious cases such as fraud, piracy, or legal violations.

3.9. Account Closure by the User

Users may request to close their Accounts at any time.
However:

  • Pending transactions must be resolved
  • Outstanding earnings must be withdrawn (subject to verification)
  • Closed accounts cannot be restored without TiiDON approval
  • TiiDON may retain certain data for legal, compliance, or anti-fraud purposes.

 

4. Marketplace Responsibilities

TiiDON operates as a digital marketplace that connects independent Authors with Buyers seeking downloadable digital products.
While we work to maintain a safe, compliant, and efficient environment, TiiDON functions strictly as a platform provider, not as the creator, owner, or distributor of User-submitted content.

This section outlines what TiiDON is responsible for—and what it is not responsible for.

4.1. Platform Provision & Infrastructure

TiiDON agrees to provide and maintain:

4.1.1. Secure Hosting

We offer reliable and secure hosting for all Products uploaded to the Platform. This includes:

  • Encrypted data transfer (HTTPS)
  • Secure servers and storage
  • Backups and redundancy
  • Regular infrastructure-level security updates

However, uptime is not guaranteed to be 100%. Occasional maintenance or upgrades may occur.

4.1.2. Product Review & Compliance System

TiiDON provides a structured review process to:

  • Validate product completeness
  • Ensure compliance with marketplace rules
  • Detect piracy, malware, or harmful code
  • Confirm correct categorization and documentation
  • Maintain quality standards for Buyers

Review outcomes are final and non-negotiable, but authors may re-submit after corrections.

4.1.3. Payment Processing

The Platform facilitates seamless payment handling for Buyers and earnings distribution for Authors.

TiiDON provides:

  • Secure checkout with reputable payment gateways
  • Multi-currency handling where supported
  • Automated invoicing/receipts
  • Anti-fraud payment screening

Escrow-like processing until earnings are cleared

However, we are not responsible for delays caused by banking systems, mobile money operators, or blockchain networks.

4.1.4. Seller Payout System

TiiDON provides reliable payout mechanisms including:

  • Weekly payouts (every Wednesday)
  • Multiple payout options: Mobile Money, Bank Transfer, Bitcoin, etc.
  • Currency conversion where applicable
  • Withdrawal request tracking
  • Fraud monitoring to protect Author earnings

Payouts may be delayed due to KYC checks, incorrect details, or fraud investigations.

4.1.5. Customer Support Tools

TiiDON offers tools for communication and support including:

  • Built-in support ticket system
  • Comment sections on product pages
  • Author–buyer messaging (where applicable)
  • Report problems and refund-request tools

However, TiiDON is not responsible for solving technical issues with products—support is the author’s obligation unless otherwise stated.

4.1.6. Affiliate Tracking & Reporting

TiiDON maintains a fully integrated affiliate tracking system which:

  • Tracks referrals via cookies
  • Attributes commissions appropriately
  • Provides analytics and reporting
  • Prevents affiliate fraud
  • Automates affiliate payouts

If fraud is detected, commissions may be withheld or reversed.

4.1.7. Anti-Fraud & Security Systems

TiiDON uses automated and manual systems to detect:

  • Suspicious logins
  • Account abuse
  • Piracy or copyright violations
  • Fake reviews or fake sales
  • Payment fraud
  • Use of VPNs/proxies for manipulation
  • Multiple account abuse

We reserve the right to suspend or terminate accounts flagged for high-risk behavior.

4.1.8. KYC/AML Verification

To comply with financial regulations, TiiDON may require Users to undergo:

  • Know Your Customer (KYC) identity checks
  • Anti-Money Laundering (AML) screening
  • Address verification
  • Business verification for company accounts

Users who refuse or fail verification may lose access to withdrawals or certain features.

4.2. Limitations of TiiDON’s Responsibilities

While we provide the marketplace infrastructure, TiiDON is not the manufacturer, owner, or technical provider of Products.
Therefore, TiiDON is not responsible for the following:

4.2.1. Product Performance

We do not guarantee:

  • That a Product will meet a Buyer’s specific needs
  • That a Product is compatible with every server or device
  • That a Product will remain supported indefinitely
  • That a Product will be error-free or bug-free

Authors are solely responsible for the quality and functionality of their Products.

4.2.2. Damages from Misuse of Products

TiiDON is not liable for:

  • Data loss
  • Server crashes
  • Security breaches resulting from incorrect setup
  • Trading losses caused by Forex robots
  • Website downtime
  • Conflicts with third-party plugins, themes, or tools
  • Custom modifications done by the Buyer

Buyers must evaluate Products before integrating them into production environments.

4.2.3. Disputes Between Authors and Buyers

TiiDON may moderate disputes but is not obligated to resolve every conflict.
We are not responsible for:

  • Miscommunication between Users
  • Delays in Author support
  • Author refusal to customize or extend Products
  • Buyer misunderstanding of product features
  • Disputes based on expectations not stated in the description
  • Refunds follow the official Refund Policy and may not always be granted.

4.2.4. Third-Party Services or Integrations

TiiDON is not responsible for:

  • Third-party APIs or SDKs used in Products
  • External hosting or demo services used by Authors
  • Payment gateways used by Buyers
  • Cloud services like Firebase, AWS, Google APIs, etc.
  • Software libraries, frameworks, or dependencies inside Products
  • Authors must ensure their Products do not violate third-party licenses.

4.2.5. User Behavior

We are not responsible for:

  • Author misconduct
  • Buyer misuse
  • Affiliate misrepresentation
  • Account hacking due to weak passwords
  • Violations of national laws committed by Users
  • Each User is solely responsible for their actions on the Platform.

 

5. Author Responsibilities (Sellers)

Authors agree to:

5.1. Upload Only Original or Properly Licensed Products

You must:

✔ Upload products you created or have full rights to sell.
✔ Provide proof of ownership/licensing if requested.
✔ Not upload pirated, nulled, cracked, or stolen content.

Misrepresentation results in account termination and potential legal action.

5.2. Maintain Product Quality

Authors must ensure:

  • Clean and secure code
  • No malware, viruses, or obfuscation
  • Proper documentation
  • Working demos when applicable
  • File structures are complete and functional
  • Regular updates when needed

5.3. Provide Support if Offered

If you advertise support, you must:

  • Respond within reasonable time (24–72 hours)
  • Provide solutions, bug fixes, or clarifications
  • Maintain professionalism

5.4. Accept Product Review Decisions

TiiDON may reject products for reasons such as:

  • Low quality
  • Security risks
  • Piracy or licensing issues
  • Misleading descriptions
  • Incomplete files
  • Violating marketplace rules

Review decisions are final to protect marketplace integrity.

6. Buyer Responsibilities

Buyers agree to:

  • Use purchased products according to the license selected
  • Not resell items unless the license specifically allows it
  • Not share, leak, or distribute purchased files
  • Not request refunds for reasons outside our refund policy (e.g., “I changed my mind,” “I didn’t read the description,” etc.)

Buyers are responsible for verifying product requirements before purchase.

7. Commissions & Earnings

Standard Commission Structure:

  • 70% Author
  • 20% TiiDON
  • 10% Affiliate (if applicable)
  • If no affiliate is involved:
  • 70% Author, 30% TiiDON
  • We reserve the right to modify commissions with notice.

8. Payouts

8.1. Minimum Withdrawal

Currently, the minimum withdraw is $10 USD

8.2. Payout Schedule

  • Every Wednesday (Weekly)

8.3. Supported Payout Methods

  • Mobile Money
  • Bank Transfer
  • Bitcoin

Other methods displayed in the dashboard

8.4. KYC Requirements

For security, TiiDON may require:

  • National ID
  • Passport
  • Business registration
  • Proof of address

Failure to provide KYC may delay payouts.

9. Taxes

TiiDON does not automatically add or deduct tax, except where required by law.

Users are responsible for complying with their local tax regulations, including:

  • VAT
  • GST
  • Digital service tax
  • Income tax

If you are unsure, consult your local tax authority.

10. Refund Policy

Refunds may be granted only when:

  • The product is broken or does not function as described
  • The author refuses to provide promised support
  • The product is misrepresented
  • Duplicate purchase
  • File download issues that cannot be resolved

Refunds are not granted for:

  • “I changed my mind”
  • “I don’t know how to use it”
  • Missing requirements the buyer ignored
  • Compatibility issues caused by the buyer’s environment
  • Customization requests

Refunds are reviewed manually and may take 3–7 business days.

11. Product Licensing

Authors may set:

  • Regular License
  • Extended License
  • Custom Licenses (optional)
  • Buyers must follow the associated license terms.

Unauthorized distribution is strictly prohibited.

12. Intellectual Property (IP) Rights

By uploading content, authors grant TiiDON:

  • A non-exclusive, worldwide license to host, display, promote, and deliver their products.
  • The right to remove illegal or infringing content.
  • Authors retain full ownership of their products.

TiiDON respects DMCA and copyright law.

13. Prohibited Content

You may not upload:

  • Malware, spyware, viruses
  • Cracked or nulled products
  • Pornographic or explicit content
  • Hate speech or discriminatory material
  • Stolen code or copyrighted assets
  • Products using unlicensed images, fonts, music, or frameworks
  • Scam, misleading, or fraudulent tools (including fake trading bots)
  • AI-generated code that violates open-source licenses
  • Content that violates any law

Violation may result in:

  • Product removal
  • Account suspension
  • Legal action
  • Permanent ban

14. Affiliate Program Terms

Affiliates earn 10% per referred sale.

Fraudulent referrals lead to account bans.

Cookie duration: 30 days.

Affiliates may not use spam, false claims, or misleading ads.

15. Platform Modifications

TiiDON may:

  • Add or remove features
  • Update fees or commissions
  • Change payout methods
  • Improve security
  • Revise Terms of Use
  • We will notify users of important changes.

Continued use = acceptance of changes.

16. Termination of Accounts

We may terminate or suspend accounts for:

  • Uploading illegal or pirated content
  • Fraudulent activity
  • Chargeback abuse
  • Harassment
  • Repeated policy violations
  • Attempting to bypass our systems
  • Failure to comply with Terms of Use

Users may request account closure at any time.

17. Limitation of Liability

TiiDON is not liable for:

  • Financial losses caused by third-party products
  • Errors in author submissions
  • Downtime caused by hosting providers
  • Loss of data due to user negligence
  • Marketplace disputes between authors and buyers
  • Trading losses from purchased Forex EAs or cBots
  • Custom modifications done by buyers

Users agree that the Platform is provided “as is” and “as available.”

18. Indemnification

You agree to indemnify and hold harmless TiiDON, its founders, employees, and partners from any claims, losses, damages, liabilities, costs, or expenses arising from:

  • Your uploaded products
  • Violations of Terms
  • Illegal activities
  • Copyright infringement
  • Misuse of the Platform

19. Governing Law

These Terms are governed by the laws of Zambia, including:

  • The Electronic Communications and Transactions Act
  • Cybersecurity and Cybercrime Act
  • Copyright and Performance Rights Act
  • Any applicable international digital commerce standards

Disputes shall be resolved in Zambian courts.
